Terms of Service

1. Acceptance of Terms

By accessing or using the KronosPay mobile application, website, or any services provided by KronosPay LLC ("Kronos," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use our services.

2. User Eligibility

You must be at least 18 years of age and a legal resident of the United States to open a Kronos account. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you are legally permitted to use financial services in your jurisdiction.

3. USA PATRIOT Act Notice

To help the government fight the funding of terrorism and money laundering activities, federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account. When you open a Kronos account, we will ask for your name, address, date of birth, and other information that will allow us to identify you. We may also ask to see identifying documents. This is part of our Customer Identification Program (CIP) as required under the USA PATRIOT Act.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@getkronos.io if you suspect any unauthorized access. Kronos is not liable for losses arising from unauthorized use of your account where you have failed to safeguard your credentials.

5. E-Sign Act Consent & Electronic Communications

By creating a Kronos account, you consent to receive all agreements, disclosures, notices, and other communications electronically, in accordance with the Electronic Signatures in Global and National Commerce Act (E-Sign Act). You acknowledge that electronic signatures, agreements, and records are legally binding and satisfy any requirement for written documents. You have the right to withdraw this consent at any time by contacting support@getkronos.io; however, withdrawal of consent may result in the termination of your account, as our services require electronic delivery. To receive electronic communications, you need a device with internet access, a current web browser or the Kronos mobile app, and a valid email address on file.

6. Services Overview

Kronos provides a digital banking platform that includes direct deposit, pay advances, peer-to-peer transfers, cryptocurrency trading, savings accounts, and a digital debit card with Apple Pay and Google Pay support. Certain features, including higher advance limits, priority support, 2.5% APY savings, and zero-fee crypto trading, are available exclusively through the Kronos Pro subscription — $9.99/month, $99.99/year (save $20), or $199.99 lifetime access.

7. Fees & Subscriptions

Free-tier users are subject to applicable fees, including a 1% fee on cryptocurrency transactions, a 1% fee on instant withdrawals to debit card, advance fees on amounts above $250, and a $500/month cap on P2P transfers. ACH bank transfers are free for all users. Kronos Pro subscribers receive enhanced benefits as described on our pricing page. Subscription options include $9.99/month, $99.99/year (save $20), or $199.99 lifetime. Subscription fees are non-refundable once the billing cycle has begun.

Automatic Renewal: In accordance with the Restore Online Shoppers Confidence Act (ROSCA), your Kronos Pro subscription will automatically renew each month at $9.99 until you cancel. You will be charged on the same date each month. You may cancel at any time through the app settings or by contacting support@getkronos.io. Upon cancellation, your Kronos Pro benefits remain active until the end of your current billing period, after which your account reverts to the free tier.

8. Electronic Funds Transfer Rights (Regulation E)

Your Kronos account is subject to the Electronic Fund Transfer Act (EFTA) and Regulation E, which provide important protections for electronic transactions including direct deposits, P2P transfers, debit card transactions, and advance repayments.

Error Resolution: If you believe an unauthorized electronic fund transfer has been made from your account, or that your statement contains an error, contact us immediately at support@getkronos.io. You must notify us within 60 days after the statement showing the error was sent to you. Provide your name, account information, the type and amount of the suspected error, and why you believe it is an error. We will investigate and resolve your claim within 10 business days (20 business days for new accounts). If we need more time, we may take up to 45 days, in which case we will provisionally credit your account within 10 business days.

Liability for Unauthorized Transfers: If you report an unauthorized transfer within 2 business days of learning about it, your liability is limited to $50. If you report after 2 business days but within 60 days of your statement, your liability may be up to $500. If you fail to report within 60 days, you risk unlimited liability for unauthorized transfers occurring after the 60-day period.

9. Cryptocurrency Services

Kronos enables users to buy, sell, and hold cryptocurrency. Wallet addresses and private keys are generated and managed through Tatum, a blockchain infrastructure provider. Trading and liquidity are facilitated through integrations with major cryptocurrency exchange APIs. On-ramp (fiat-to-crypto) and off-ramp (crypto-to-fiat) services may be provided through one or more licensed third-party partners, which may change over time. Digital assets are not legal tender, are not backed by any government, are not FDIC-insured, and are subject to significant market volatility. Kronos does not guarantee the value of any cryptocurrency. You acknowledge the risks associated with digital asset trading, including the potential for complete loss of value, and agree that Kronos is not responsible for any losses resulting from market fluctuations, network failures, or third-party service disruptions.

10. Pay Advances

Pay advances are not loans. They are earned wage access services repaid automatically from your next qualifying direct deposit. A "qualifying direct deposit" is defined as a recurring deposit of at least $200 from an employer or gig platform payroll provider. Free-tier users may access advances up to $250; Kronos Pro subscribers may access up to $1,000. Eligibility and limits are determined at our sole discretion based on account activity and deposit history.

If your scheduled direct deposit does not arrive or is insufficient to cover the outstanding advance, Kronos may attempt to recover the amount from your next qualifying deposit. If repayment is not received within 30 days of the original advance date, your advance privileges may be suspended and the outstanding amount may be deducted from your account balance. Kronos does not charge interest or late fees on advances; however, continued non-repayment may result in account restriction. Advances are not subject to the Truth in Lending Act (TILA) as they do not constitute credit, carry no finance charges, and have no annual percentage rate.

11. Savings Account & APY (Regulation DD)

The Kronos Pro savings feature offers a 2.5% Annual Percentage Yield (APY) for eligible subscribers. The APY is variable and may change at our discretion with 30 days notice. Interest is calculated daily on your full balance and compounded monthly. There is no minimum balance required to earn interest and no fees that reduce earnings. The APY is available exclusively to active Kronos Pro subscribers; free-tier accounts earn 0% APY. This disclosure is provided in compliance with the Truth in Savings Act and Regulation DD.

12. Prohibited Activities

You agree not to use Kronos for any unlawful purpose, including money laundering, terrorist financing, fraud, sanctions evasion, or any activity that violates applicable federal, state, or local laws. You further agree not to use Kronos to process transactions on behalf of third parties without authorization, to circumvent any security measures or access controls, or to engage in market manipulation of digital assets. Violations may result in immediate account suspension, reporting to law enforcement and regulatory authorities, and forfeiture of funds where required by law.

13. Third-Party Services

Kronos integrates with third-party services including banking partners, blockchain infrastructure providers (Tatum), cryptocurrency exchange APIs, gig platform APIs (Uber, DoorDash, Lyft, Instacart, and others), payment networks (Apple Pay, Google Pay), and identity verification providers. These services are governed by their own terms and privacy policies. Kronos is not responsible for the availability, accuracy, or reliability of third-party services, and makes no warranties regarding data obtained from gig platforms or other external sources. Service interruptions by third-party providers do not constitute a breach of these Terms by Kronos.

14. Mobile Application License

Subject to these Terms, KronosPay LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Kronos mobile application ("App") on devices that you own or control, solely for your personal, non-commercial financial management purposes.

You agree not to: reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the App; modify, adapt, translate, or create derivative works based on the App; copy, distribute, sell, sublicense, rent, or lease the App or any portion thereof; remove, alter, or obscure any proprietary notices, labels, or marks on the App; or use the App for any purpose other than its intended personal financial management use.

Your use of the App is also subject to the terms of the applicable app store (Apple App Store or Google Play Store). In the event of any conflict between these Terms and app store terms, these Terms shall govern to the extent permitted. This license is effective until terminated. It terminates automatically if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the App and delete all copies.

15. Beta Program

Kronos is currently operating in a beta testing phase. Your use of the Service during the beta period is additionally governed by our Beta Test Agreement, which supplements these Terms. By using Kronos during the beta period, you acknowledge that the Service is under active development and may contain bugs, errors, or incomplete features.

During the beta period, the Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. See the Beta Test Agreement for complete beta-specific terms including confidentiality obligations, liability limitations, and feedback provisions.

16. Intellectual Property

All content, features, and functionality of Kronos — including the name, logo, design, software, text, and graphics — are owned by KronosPay LLC and are protected by United States copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Kronos content without our prior written consent. "Kronos," "KronosPay," and the Kronos logo are registered trademarks of KronosPay LLC.

17. Privacy

Your use of Kronos is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the practices described therein. For privacy-related inquiries, contact privacy@getkronos.io.

18. Indemnification

You agree to indemnify, defend, and hold harmless KronosPay LLC, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of or inability to use Kronos; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights, including intellectual property rights.

19. Limitation of Liability

To the maximum extent permitted by law, KronosPay LLC and its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of data, loss of profits, or cryptocurrency value depreciation. Our total aggregate liability shall not exceed the greater of (a) the amount you have paid to Kronos in the twelve (12) months preceding the claim or (b) one hundred dollars ($100). This limitation applies regardless of the theory of liability.

20. Dispute Resolution & Arbitration

Any disputes arising from these Terms or your use of Kronos shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state of Delaware. You agree to waive any right to a jury trial or participation in a class action lawsuit. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Small claims court actions (under $10,000) are exempt from this arbitration requirement.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware.

22. Force Majeure

Kronos shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, cyberattacks, power outages, telecommunications failures, banking system outages, blockchain network congestion, or third-party service provider failures.

23. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of Kronos after changes become effective constitutes acceptance of the revised Terms. If you do not agree with any modifications, you must discontinue use and close your account.

24. Termination

We may suspend or terminate your account at any time for violations of these Terms, suspected fraudulent activity, regulatory requirements, or as required by law. You may close your account at any time by contacting support@getkronos.io. Upon termination, any remaining balance will be returned to your linked bank account within 5 business days, minus any outstanding fees, advance repayments, or amounts owed. Sections relating to intellectual property, indemnification, limitation of liability, dispute resolution, and governing law shall survive termination.

25. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

26. Entire Agreement

These Terms, together with our Privacy Policy, Beta Test Agreement, Cookie Policy, and any supplemental agreements, constitute the entire agreement between you and KronosPay LLC regarding your use of Kronos, and supersede all prior agreements and understandings.
