Beta Test Agreement

Kronos is currently in beta. By using our services, you agree to the following terms governing your participation in the Beta Program, in addition to our Terms of Service and Privacy Policy.

1. Beta Program Overview

KronosPay LLC ("Kronos," "Company," "we," "us," or "our") is currently operating the Kronos mobile application and related services (collectively, the "Service") in a beta testing phase. By accessing or using the Service during this beta period, you ("Tester," "you," or "your") agree to be bound by this Beta Test Agreement ("Agreement") in addition to our Terms of Service and Privacy Policy.

This Agreement governs your participation in the Kronos Beta Program and supplements the Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall control with respect to beta-specific provisions.

2. License Grant

Subject to the terms of this Agreement, Kronos grants you a limited, nonexclusive, nontransferable, revocable license to access and use the Service solely for the purpose of testing and evaluating the Service during the beta period designated by the Company.

This license does not include the right to:

• Sublicense, sell, or distribute the Service or any part thereof
• Use the Service for any commercial purpose beyond your personal financial management
• Grant access to third parties not authorized by Kronos
• Copy or reproduce the Service except as necessary for normal use

3. Confidentiality

You acknowledge that during the beta period, you may receive or have access to non-public information regarding the Service, including but not limited to: unreleased features and functionality, product roadmaps and development plans, software architecture, technology, know-how, processes, user interface designs, internal communications, and financial information (collectively, "Confidential Information").

You agree to:

• Maintain strict confidence regarding all Confidential Information
• Not disclose Confidential Information to any third party without prior written consent from Kronos
• Limit access to Confidential Information to yourself
• Not use Confidential Information for any purpose other than testing and evaluating the Service

These confidentiality obligations do not apply to information that: (a) becomes publicly available through no fault of yours; (b) was already in your possession without confidentiality restrictions; or (c) was independently developed by you without access to the Confidential Information.

4. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, algorithms, designs, trademarks, copyrights, trade secrets, and patents, remain the exclusive property of KronosPay LLC.

You shall not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software component of the Service
• Create derivative works based on the Service
• Remove, alter, or obscure any proprietary notices or labels on the Service
• Make, use, or sell any product or service derived from the Confidential Information

Any feedback, suggestions, bug reports, or improvement ideas ("Feedback") you provide regarding the Service shall become the sole and exclusive property of Kronos. You hereby assign to Kronos all right, title, and interest in any such Feedback, and Kronos may use it for any purpose without compensation or attribution to you.

5. Beta Service — "As Is" Disclaimer

THE SERVICE IS PROVIDED DURING THE BETA PERIOD ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

KRONOS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF DATA
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OF TRANSMITTED DATA

You acknowledge that the Service is in active development and may contain bugs, errors, and incomplete features. You assume all risk associated with the use of the Service during the beta period, including but not limited to potential data loss, transaction delays, calculation errors, and service interruptions.

Your funds held at FDIC-insured banking partners continue to be protected by FDIC insurance regardless of the Service's beta status.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KRONOSPAY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE DURING THE BETA PERIOD.

THIS INCLUDES, WITHOUT LIMITATION: LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, CRYPTOCURRENCY VALUE DEPRECIATION, TRANSACTION FAILURES OR DELAYS, SERVICE INTERRUPTIONS, OR ANY DAMAGES RESULTING FROM BUGS, ERRORS, OR INCOMPLETE FEATURES.

KRONOS'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FIFTY DOLLARS ($50.00) OR (B) THE ACTUAL AMOUNTS PAID BY YOU TO KRONOS IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise, even if Kronos has been advised of the possibility of such damages.

7. Tester Responsibilities

As a beta tester, you agree to:

• Report any bugs, errors, or unexpected behavior through the in-app support channel or by emailing support@getkronos.io
• Provide honest and constructive feedback when requested
• Keep the Service updated to the latest available version
• Not intentionally stress-test, exploit, or attack the Service or its infrastructure
• Maintain accurate account information at all times
• Comply with all applicable laws and regulations in your use of the Service
• Not publicly disparage the Service based on beta-period limitations or known issues

8. Data & Privacy During Beta

During the beta period, we may collect additional usage analytics, crash reports, and diagnostic data to improve the Service. This supplemental data collection is described in our Privacy Policy.

You acknowledge that:

• Beta features may involve additional data processing not present in the final product
• Some beta features may be modified or removed before general release
• Transaction history and account data created during the beta period will be preserved through the transition to general availability
• We may contact you for feedback surveys or interviews regarding your experience

9. Term & Termination

The beta period begins on the date you first access the Service and continues until Kronos publicly announces general availability or terminates the beta program.

Either party may terminate participation in the beta program at any time:

• Kronos may terminate or modify the beta program with or without notice
• You may terminate your participation by closing your account

Upon termination of the beta period:

• Your account and funds will transition to the generally available version of the Service
• Your confidentiality obligations under Section 3 survive termination and continue for two (2) years after the beta period ends
• Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination

10. Indemnification

You agree to indemnify, defend, and hold harmless KronosPay LLC, its officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your breach of this Agreement
• Your unauthorized use or modification of the Service
• Your disclosure of Confidential Information in violation of Section 3
• Your violation of any applicable law or third-party rights during beta testing

11. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state of Delaware, as further described in our Terms of Service.

Kronos may seek injunctive or equitable relief in any court of competent jurisdiction to prevent or restrain breaches of the confidentiality provisions of this Agreement.

You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Kronos.

12. Modifications

Kronos reserves the right to modify this Agreement at any time. Material changes will be communicated via email or in-app notification at least 15 days before taking effect. Continued use of the Service after modifications become effective constitutes acceptance of the revised Agreement.

If you do not agree with any modifications, you must discontinue use and close your account.

13. Severability & Entire Agreement

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and KronosPay LLC regarding your participation in the Beta Program.
