KronosPay LLC ("Kronos," "we," "us," or "our") is committed to protecting the privacy and security of your personal information. This Privacy Policy explains how we collect, use, share, and safeguard your data when you use the Kronos mobile application, website, and related services. By using Kronos, you consent to the practices described in this policy. This notice is provided in compliance with the Gramm-Leach-Bliley Act (GLBA), the California Consumer Privacy Act (CCPA/CPRA), and other applicable federal and state privacy regulations.

2. Information We Collect

Personal Information: When you create an account, we collect your full name, email address, phone number, date of birth, Social Security Number (for KYC verification), and mailing address.

Financial Information: We collect banking details (account and routing numbers), transaction history, direct deposit information, and linked debit/credit card details to facilitate our services. Debit card data is processed and stored in compliance with Payment Card Industry Data Security Standards (PCI DSS).

Gig Platform Data: If you connect gig platform accounts (Uber, DoorDash, Lyft, Instacart, and others), we collect earnings data, work history, and payout schedules to provide earnings tracking and advance eligibility.

Biometric Data: If you enable biometric authentication (Face ID, Touch ID, or fingerprint), your biometric data is processed locally on your device by your operating system. Kronos does not collect, store, or transmit raw biometric data to our servers. We only receive a confirmation of successful biometric verification from your device.

Device & Usage Data: We automatically collect device type, operating system, IP address, app usage patterns, session duration, and crash reports to improve our services and detect fraud.

3. How We Use Your Information

We use your information to: provide, operate, and maintain our banking, advance, crypto, and savings services; verify your identity and comply with KYC/AML regulations; process transactions and send notifications; calculate advance eligibility and subscription billing; detect, prevent, and investigate fraudulent or unauthorized activity; communicate important account updates and promotional offers; perform automated risk assessments for advance eligibility and fraud prevention; and improve our products through aggregated analytics.

4. Automated Decision-Making & Profiling

Kronos uses automated systems to make certain decisions that may affect your account, including: advance eligibility and limit calculations (based on deposit history and account activity), fraud risk scoring (based on transaction patterns and device data), and account risk assessments. You have the right to request an explanation of any automated decision that significantly affects your account. To request a review, contact support@getkronos.io.

5. Gramm-Leach-Bliley Act (GLBA) Notice

As a financial services provider, KronosPay LLC is subject to the GLBA. We collect nonpublic personal information (NPI) about you from account applications, transaction history, and third-party sources. We do not disclose NPI to non-affiliated third parties except as permitted by law, including: to process your transactions, to protect against fraud, to comply with legal requirements, and with service providers who are contractually obligated to keep your information confidential. You may opt out of certain information-sharing practices by contacting privacy@getkronos.io.

6. Data Sharing & Third Parties

We do not sell your personal information. We share data only in the following circumstances: with our banking partners who hold your deposits; with payment processors and card networks (Visa, Mastercard) to facilitate transactions; with identity verification providers (for KYC/AML compliance); with blockchain infrastructure providers (Tatum) for wallet and key management; with cryptocurrency exchange API providers to facilitate trades; with cloud infrastructure providers (for hosting and data storage); with email service providers (for transactional and account communications); with law enforcement or regulators when required by law, subpoena, or legal process; and with analytics providers (using aggregated, de-identified data only). All third-party service providers are bound by data processing agreements that require them to protect your information and use it only for the purposes we specify.

7. Data Security

We implement industry-leading security measures to protect your data, including: 256-bit SSL/TLS encryption for all data in transit and at rest; biometric and two-factor authentication; real-time transaction fraud monitoring; SOC 2-compliant cloud infrastructure; PCI DSS compliance for payment card data; regular third-party security audits and penetration testing; role-based access controls for internal data access; and encrypted database backups with geographic redundancy.

8. Data Breach Notification

In the event of a data breach that compromises your personal information, we will notify affected users via email and in-app notification within 72 hours of confirming the breach, or as otherwise required by applicable state law. The notification will include: the nature of the breach, the types of data affected, the steps we are taking to address it, and recommended actions you can take to protect yourself. We will also notify applicable state attorneys general and regulatory authorities as required by law. Where appropriate, we will offer complimentary credit monitoring services to affected users.

9. Data Retention

We retain your personal information for as long as your account is active and for a period of five (5) years after account closure to comply with BSA/AML financial record-keeping regulations. Transaction records may be retained for up to seven (7) years as required by applicable tax and financial reporting laws. You may request deletion of your account data at any time, subject to regulatory retention requirements, by contacting privacy@getkronos.io.

10. Your Rights

Depending on your jurisdiction, you have the following rights regarding your personal data:

All Users: Right to access your data, correct inaccuracies, opt out of marketing communications, and request a portable copy of your information.

California Residents (CCPA/CPRA): Right to know what personal information is collected and disclosed; right to delete your data; right to correct inaccurate data; right to opt out of the sale or sharing of personal information (note: Kronos does not sell your data); right to limit the use of sensitive personal information; and right to non-discrimination for exercising your rights. To exercise your CCPA rights, contact privacy@getkronos.io or call our privacy line. We will respond within 45 days.

Virginia Residents (VCDPA): Right to access, correct, delete, and obtain a portable copy of your data; right to opt out of targeted advertising, profiling, and sale of personal data.

Colorado Residents (CPA): Right to access, correct, delete, and port your data; right to opt out of targeted advertising, sale of data, and profiling that produces legal effects.

Connecticut Residents (CTDPA): Right to access, correct, delete, and port your data; right to opt out of targeted advertising, sale of data, and profiling.

To exercise any of these rights, email privacy@getkronos.io with your request. We will verify your identity and respond within the timeframes required by applicable law.

11. Do Not Track Signals

Our website currently does not respond to "Do Not Track" (DNT) browser signals, as there is no industry-standard protocol for DNT compliance. However, you can control tracking through your cookie preferences and browser settings as described in our Cookie Policy.

We may update this Privacy Policy from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. 1. Acceptance of Terms

By accessing or using the KronosPay mobile application, website, or any services provided by KronosPay LLC ("Kronos," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use our services.

2. User Eligibility

You must be at least 18 years of age and a legal resident of the United States to open a Kronos account. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you are legally permitted to use financial services in your jurisdiction.

3. USA PATRIOT Act Notice

To help the government fight the funding of terrorism and money laundering activities, federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account. When you open a Kronos account, we will ask for your name, address, date of birth, and other information that will allow us to identify you. We may also ask to see identifying documents. This is part of our Customer Identification Program (CIP) as required under the USA PATRIOT Act.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@getkronos.io if you suspect any unauthorized access. Kronos is not liable for losses arising from unauthorized use of your account where you have failed to safeguard your credentials.

5. E-Sign Act Consent & Electronic Communications

By creating a Kronos account, you consent to receive all agreements, disclosures, notices, and other communications electronically, in accordance with the Electronic Signatures in Global and National Commerce Act (E-Sign Act). You acknowledge that electronic signatures, agreements, and records are legally binding and satisfy any requirement for written documents. You have the right to withdraw this consent at any time by contacting support@getkronos.io; however, withdrawal of consent may result in the termination of your account, as our services require electronic delivery. To receive electronic communications, you need a device with internet access, a current web browser or the Kronos mobile app, and a valid email address on file.

6. Services Overview

Kronos provides a digital banking platform that includes direct deposit, pay advances, peer-to-peer transfers, cryptocurrency trading, savings accounts, and a digital debit card with Apple Pay support. Certain features, including higher advance limits, priority support, 2.5% APY savings, and zero-fee crypto trading, are available exclusively through the Kronos Pro subscription — $9.99/month, $99.99/year (save $20), or $199.99 lifetime access.

7. Fees & Subscriptions

Free-tier users are subject to applicable fees, including a 1% fee on cryptocurrency transactions, a 1% fee on instant withdrawals to debit card, advance fees on amounts above $250, and a $500/month cap on P2P transfers. ACH bank transfers are free for all users. Kronos Pro subscribers receive enhanced benefits as described on our pricing page. Subscription options include $9.99/month, $99.99/year (save $20), or $199.99 lifetime. Subscription fees are non-refundable once the billing cycle has begun.

Automatic Renewal: In accordance with the Restore Online Shoppers Confidence Act (ROSCA), your Kronos Pro subscription will automatically renew each month at $9.99 until you cancel. You will be charged on the same date each month. You may cancel at any time through the app settings or by contacting support@getkronos.io. Upon cancellation, your Kronos Pro benefits remain active until the end of your current billing period, after which your account reverts to the free tier.

8. Electronic Funds Transfer Rights (Regulation E)

Your Kronos account is subject to the Electronic Fund Transfer Act (EFTA) and Regulation E, which provide important protections for electronic transactions including direct deposits, P2P transfers, debit card transactions, and advance repayments.

Error Resolution: If you believe an unauthorized electronic fund transfer has been made from your account, or that your statement contains an error, contact us immediately at support@getkronos.io. You must notify us within 60 days after the statement showing the error was sent to you. Provide your name, account information, the type and amount of the suspected error, and why you believe it is an error. We will investigate and resolve your claim within 10 business days (20 business days for new accounts). If we need more time, we may take up to 45 days, in which case we will provisionally credit your account within 10 business days.

Liability for Unauthorized Transfers: If you report an unauthorized transfer within 2 business days of learning about it, your liability is limited to $50. If you report after 2 business days but within 60 days of your statement, your liability may be up to $500. If you fail to report within 60 days, you risk unlimited liability for unauthorized transfers occurring after the 60-day period.

9. Cryptocurrency Services

Kronos enables users to buy, sell, and hold cryptocurrency. Wallet addresses and private keys are generated and managed through Tatum, a blockchain infrastructure provider. Trading and liquidity are facilitated through integrations with major cryptocurrency exchange APIs. On-ramp and off-ramp services may be provided through one or more licensed third-party partners, which may change over time. Digital assets are not legal tender, are not backed by any government, are not FDIC-insured, and are subject to significant market volatility. Kronos does not guarantee the value of any cryptocurrency. You acknowledge the risks associated with digital asset trading, including the potential for complete loss of value, and agree that Kronos is not responsible for any losses resulting from market fluctuations, network failures, or third-party service disruptions.

10. Pay Advances

Pay advances are not loans. They are earned wage access services repaid automatically from your next qualifying direct deposit. A "qualifying direct deposit" is defined as a recurring deposit of at least $200 from an employer or gig platform payroll provider. Free-tier users may access advances up to $250; Kronos Pro subscribers may access up to $1,000. Eligibility and limits are determined at our sole discretion based on account activity and deposit history.

If your scheduled direct deposit does not arrive or is insufficient to cover the outstanding advance, Kronos may attempt to recover the amount from your next qualifying deposit. If repayment is not received within 30 days of the original advance date, your advance privileges may be suspended and the outstanding amount may be deducted from your account balance. Kronos does not charge interest or late fees on advances; however, continued non-repayment may result in account restriction. Advances are not subject to the Truth in Lending Act (TILA) as they do not constitute credit, carry no finance charges, and have no annual percentage rate.

11. Savings Account & APY (Regulation DD)

The Kronos Pro savings feature offers a 2.5% Annual Percentage Yield (APY) for eligible subscribers. The APY is variable and may change at our discretion with 30 days notice. Interest is calculated daily on your full balance and compounded monthly. There is no minimum balance required to earn interest and no fees that reduce earnings. The APY is available exclusively to active Kronos Pro subscribers; free-tier accounts earn 0% APY. This disclosure is provided in compliance with the Truth in Savings Act and Regulation DD.

12. Prohibited Activities

You agree not to use Kronos for any unlawful purpose, including money laundering, terrorist financing, fraud, sanctions evasion, or any activity that violates applicable federal, state, or local laws. You further agree not to use Kronos to process transactions on behalf of third parties without authorization, to circumvent any security measures or access controls, or to engage in market manipulation of digital assets. Violations may result in immediate account suspension, reporting to law enforcement and regulatory authorities, and forfeiture of funds where required by law.

13. Third-Party Services

Kronos integrates with third-party services including banking partners, blockchain infrastructure providers (Tatum), cryptocurrency exchange APIs, gig platform APIs (Uber, DoorDash, Lyft, Instacart, and others), payment networks (Apple Pay), and identity verification providers. These services are governed by their own terms and privacy policies. Kronos is not responsible for the availability, accuracy, or reliability of third-party services, and makes no warranties regarding data obtained from gig platforms or other external sources. Service interruptions by third-party providers do not constitute a breach of these Terms by Kronos.

14. Mobile Application License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Kronos mobile application on devices you own or control. You agree not to reverse engineer, decompile, disassemble, or attempt to derive the source code of the application. Your use of the app is also subject to the terms of the applicable app store (Apple App Store). In the event of any conflict between these Terms and app store terms, these Terms shall govern to the extent permitted.

15. Intellectual Property

All content, features, and functionality of Kronos — including the name, logo, design, software, text, and graphics — are owned by KronosPay LLC and are protected by United States copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Kronos content without our prior written consent. "Kronos," "KronosPay," and the Kronos logo are registered trademarks of KronosPay LLC.

16. Privacy

Your use of Kronos is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the practices described therein. For privacy-related inquiries, contact privacy@getkronos.io.

17. Indemnification

You agree to indemnify, defend, and hold harmless KronosPay LLC, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of or inability to use Kronos; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights, including intellectual property rights.

18. Limitation of Liability

To the maximum extent permitted by law, KronosPay LLC and its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of data, loss of profits, or cryptocurrency value depreciation. Our total aggregate liability shall not exceed the greater of (a) the amount you have paid to Kronos in the twelve (12) months preceding the claim or (b) one hundred dollars ($100). This limitation applies regardless of the theory of liability.

19. Dispute Resolution & Arbitration

Any disputes arising from these Terms or your use of Kronos shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state of Delaware. You agree to waive any right to a jury trial or participation in a class action lawsuit. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Small claims court actions (under $10,000) are exempt from this arbitration requirement.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware.

21. Force Majeure

Kronos shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, cyberattacks, power outages, telecommunications failures, banking system outages, blockchain network congestion, or third-party service provider failures.

22. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of Kronos after changes become effective constitutes acceptance of the revised Terms. If you do not agree with any modifications, you must discontinue use and close your account.

23. Termination

We may suspend or terminate your account at any time for violations of these Terms, suspected fraudulent activity, regulatory requirements, or as required by law. You may close your account at any time by contacting support@getkronos.io. Upon termination, any remaining balance will be returned to your linked bank account within 5 business days, minus any outstanding fees, advance repayments, or amounts owed. Sections relating to intellectual property, indemnification, limitation of liability, dispute resolution, and governing law shall survive termination.

24. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

25. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any supplemental agreements, constitute the entire agreement between you and KronosPay LLC regarding your use of Kronos, and supersede all prior agreements and understandings.

BSA/AML & KYC

KronosPay LLC is committed to operating in full compliance with all applicable federal and state regulations. We adhere to the Bank Secrecy Act (BSA) and Anti-Money Laundering (AML) requirements, and maintain a robust Know Your Customer (KYC) and Customer Identification Program (CIP) as required under the USA PATRIOT Act. All accounts are subject to identity verification before activation, and ongoing transaction monitoring is performed to detect and report suspicious activity.

OFAC Sanctions Screening

Kronos screens all customers and transactions against the Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) list and other applicable sanctions lists. We do not provide services to individuals or entities in sanctioned countries or jurisdictions, and any matches result in immediate account review and, where required, account suspension and reporting to the appropriate authorities.

Electronic Funds Transfer Act (EFTA) & Regulation E

All electronic fund transfers processed through Kronos — including direct deposits, P2P transfers, debit card transactions, and advance repayments — are protected under the Electronic Fund Transfer Act and Regulation E. This includes your right to dispute unauthorized transactions, receive error resolution within regulatory timeframes, and obtain periodic statements of account activity. E-Sign Act Compliance

Kronos operates in compliance with the Electronic Signatures in Global and National Commerce Act (E-Sign Act). All agreements, disclosures, and communications are delivered electronically with your consent. You have the right to withdraw consent and request paper delivery at any time, though this may affect your ability to use certain services.

Cryptocurrency Regulation

Our cryptocurrency services comply with FinCEN guidance for digital asset transactions. All crypto transactions are monitored for suspicious activity and reported in accordance with federal BSA requirements. Cryptocurrency services may be subject to availability based on regulatory requirements.

Banking Compliance

KronosPay, LLC is not a bank. Banking services are provided through our licensed banking partners. Customer deposits are held in segregated accounts and are eligible for applicable regulatory protections. Full details of our banking arrangements are provided in our Terms of Service.

Truth in Savings (Regulation DD)

The Kronos Pro savings feature, which offers a 2.5% Annual Percentage Yield (APY), complies with the Truth in Savings Act and Regulation DD. APY disclosures, including the method of compounding, any conditions that affect the rate, and fee information, are provided to subscribers at the time of enrollment and are available in our Terms of Service.

Pay Advances & TILA

Kronos pay advances are earned wage access services, not loans or extensions of credit. As such, they are not subject to the Truth in Lending Act (TILA) or Regulation Z. Advances carry no interest, no finance charges, and no annual percentage rate. Repayment occurs automatically from the user's next qualifying direct deposit. This classification is consistent with current CFPB guidance on earned wage access products.

UDAAP Compliance

Kronos is committed to fair and transparent practices in compliance with the prohibition against Unfair, Deceptive, or Abusive Acts or Practices (UDAAP) as enforced by the Consumer Financial Protection Bureau (CFPB). All fees, terms, and conditions are clearly disclosed before any transaction or enrollment. If you believe any Kronos practice is unfair or deceptive, you may file a complaint with us or directly with the CFPB at consumerfinance.gov/complaint.

Automatic Renewal (ROSCA)

The Kronos Pro subscription complies with the Restore Online Shoppers Confidence Act (ROSCA). Before enrollment, we clearly disclose: the terms of the subscription, the recurring charge amount ($9.99/month or $99.99/year), the one-time lifetime purchase option ($199.99), the billing frequency, and how to cancel. Your informed consent is obtained before any charges are processed.

Data Protection

We comply with the Gramm-Leach-Bliley Act (GLBA) for financial data privacy, the California Consumer Privacy Act (CCPA/CPRA), the Virginia Consumer Data Protection Act (VCDPA), the Colorado Privacy Act (CPA), the Connecticut Data Privacy Act (CTDPA), and other applicable state and federal privacy laws. All customer data is encrypted, access-controlled, and handled in accordance with our Privacy Policy. Payment card data is processed in compliance with PCI DSS standards.

CFPB Oversight

KronosPay LLC is subject to the oversight of the Consumer Financial Protection Bureau (CFPB) for the financial products and services we offer. Biometric Authentication
